These funds are currently held in escrow until certain conditions are met, at which point the debt obligations will shift to Mohegan and its affiliate, MS Digital Entertainment Holdings, LLC.
The new notes are also supported by guarantees from other company subsidiaries. To meet one of the key conditions for the release of the escrowed funds, Mohegan plans to exchange $226 million of its existing 13.25% senior unsecured notes due 2027 for $250 million of the newly issued 11.875% second-priority senior secured notes due 2031.
Fresh Five-Year Credit Agreement
Mohegan is also in the process of finalizing a new five-year, $250 million senior secured revolving credit facility with partner banks, which is essential for accessing the escrowed funds. The company intends to use the funds from the offering, along with the new credit facility and existing cash reserves, to pay off current debts, retire outstanding loans, and cover related fees and expenses.
If the conditions for releasing the escrowed funds are not met by May 10, the escrow issuer will be required to redeem the notes.

Earlier this year, analyst Kim Noland from Gimme Credit raised concerns about Mohegan’s credit profile due to its inability to secure a waiver and upcoming maturity of key obligations. In February, Bain Capital took control of Inspire Entertainment Resort in Incheon, South Korea, following financial covenant breaches.
